Agreement to Terms
By accessing or using the HandyHelpa mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the App.
Company: Inab Technologies Ltd ("HandyHelpa", "we", "us", or "our")
App Users: "Employers" (those seeking services) and "Helpas" (service providers)
Eligibility
Age Requirement
- You must be at least 18 years old to use HandyHelpa
- You must have legal capacity to enter into binding contracts
- You must not be prohibited from using the App under applicable laws
Account Requirements
- Provide accurate, current, and complete information
- Maintain and update your account information
- Maintain security of your password and account
- Accept responsibility for all activities under your account
Prohibited Users
- Individuals convicted of violent crimes or sex offenses
- Users previously banned from HandyHelpa
- Users providing false identity information
Account Registration
For All Users
- One account per person
- Valid email address and phone number required
- Accurate personal information mandatory
- Profile photo must be a clear photo of yourself
For Helpas (Service Providers)
- Must complete identity verification (via Veriff)
- Must accurately represent skills and experience
- Must provide valid payment information for withdrawals
- May be subject to background checks
- Must comply with local business and tax laws
Account Verification
- We reserve the right to verify your identity
- Failure to verify may result in account suspension
- False information may result in permanent ban
Services Provided
HandyHelpa provides a platform to connect Employers with Helpas. We are not:
- An employment agency
- An employer of Helpas
- A party to contracts between users
- Responsible for the quality of services performed
Our Role
- Facilitate connections between users
- Provide payment processing infrastructure
- Offer communication tools
- Provide rating and review system
- Offer dispute resolution assistance
User Responsibilities
Employer Responsibilities
- Provide accurate job descriptions
- Offer fair compensation
- Communicate clearly with Helpas
- Release payment promptly upon satisfactory completion
- Rate Helpas fairly and honestly
- Comply with all applicable labor laws
Helpa Responsibilities
- Accurately represent skills and qualifications
- Provide services professionally and on time
- Communicate honestly about availability
- Complete jobs as agreed or negotiate changes
- Comply with local licensing requirements
- Pay applicable taxes on earnings
- Maintain necessary insurance if required by law
Prohibited Conduct
Both parties must NOT:
- Harass, threaten, or abuse other users
- Discriminate based on race, gender, religion, etc.
- Post illegal, fraudulent, or misleading content
- Circumvent the platform to avoid fees
- Share login credentials
- Use automated systems to access the App
- Attempt to manipulate ratings or reviews
- Solicit payment outside the platform
- Engage in any illegal activities
Job Postings and Offers
Job Postings
- Must be genuine opportunities
- Must include clear description and compensation
- Must not request illegal activities
- May be removed if violating terms
Prohibited Jobs
- Illegal activities
- Adult/sexual services
- Harassment or stalking
- Anything requiring professional licensing (unless Helpa is licensed)
- Jobs designed to circumvent platform fees
Job Acceptance
- Accepting a job creates a binding agreement
- Terms negotiated through the App are binding
- Jobs should not be cancelled without valid reason
Payments and Fees
Payment Processing
- All payments processed through HandyHelpa platform
- Payments held securely until job completion
- Payment release requires Employer confirmation
- Disputed payments held pending resolution
Service Fees
For Helpas:
- Service fee: 15-20% of job value (disclosed before acceptance)
- Charged only on completed, paid jobs
- Covers platform maintenance, payment processing, insurance
For Employers:
- Free to post jobs and browse Helpas
- Small processing fee may apply to certain payment methods
- No hidden fees
Payment Timeline
- Employers pay upon job acceptance (held in escrow)
- Funds released to Helpa upon job completion and approval
- Helpas can withdraw funds to bank account
- Withdrawals processed within a few minutes
Refunds
- Full refund if job cancelled before commencement
- Partial refund possible if job incomplete (via dispute)
- No refund for completed and accepted work
- Platform fees are non-refundable
Ratings and Reviews
Review System
- Both parties can rate and review after job completion
- Reviews must be honest and based on actual experience
- Reviews are publicly visible
- Fake or manipulated reviews are prohibited
Consequences of Poor Ratings
- Consistently low ratings may result in account restrictions
- Pattern of negative reviews may lead to suspension
- Fraudulent ratings will result in immediate ban
Dispute Resolution
Dispute Process
- Attempt to resolve directly through in-app messaging
- Either party can open a dispute within 7 days of job completion
- Provide evidence (photos, messages, documentation)
- HandyHelpa reviews evidence and makes determination
- Decision is final and binding
Our Authority
- We may mediate disputes but are not arbitrators
- We may hold or release payments based on evidence
- We may suspend accounts pending investigation
- Decisions are made at our sole discretion
Arbitration Agreement
- Disputes with HandyHelpa must be resolved through binding arbitration
- Arbitration conducted under the Arbitration and Conciliation Act of Nigeria
- Location: Lagos, Nigeria
- Class action waiver applies
Intellectual Property
Your Content
- You retain ownership of content you post
- You grant us a worldwide, non-exclusive license to use your content
- You represent that you have rights to content you post
Our Property
- HandyHelpa name, logo, and trademarks are our property
- App design, features, and code are protected by copyright
- Unauthorized use is prohibited
Privacy and Data
Data Collection
- Governed by our Privacy Policy
- We collect data as described in Privacy Policy
- You consent to data collection and use
Location Data
- Required for core functionality
- Used for job matching and verification
- Can be disabled but limits functionality
Safety and Verification
Identity Verification
- Helpas must complete identity verification
- We use third-party services (Veriff)
- Verification does not guarantee safety
- Users responsible for own safety
Background Checks
- We may conduct background checks on Helpas
- Checks vary by jurisdiction and service type
- Not guaranteed to catch all issues
- Users should exercise caution
User Safety
- Meet in public places when appropriate
- Trust your instincts
- Report suspicious behavior immediately
- We are not liable for user conduct
Limitation of Liability
Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do NOT warrant:
- Uninterrupted or error-free service
- Accuracy of user-provided information
- Quality or safety of services performed
- Fitness for a particular purpose
Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for indirect, incidental, or consequential damages
- Maximum liability limited to fees paid in past 12 months
- Not liable for user conduct or third-party actions
- Not liable for unauthorized access or data breaches
Indemnification
You agree to indemnify HandyHelpa from claims arising from:
- Your use of the App
- Your violation of Terms
- Your violation of others' rights
- Services you provide or receive
Termination
By You
- You may delete your account anytime
- Outstanding payments must be settled
- Data deletion subject to Privacy Policy
By Us
We may suspend or terminate your account for:
- Violation of these Terms
- Fraudulent activity
- Consistent poor ratings
- Safety concerns
- Inactivity (after notice)
- Any reason, with or without notice
Effect of Termination
- Access to App immediately revoked
- Outstanding obligations remain binding
- Provisions that should survive termination remain in effect
Modifications
Changes to Terms
- We may modify Terms at any time
- Material changes require 30 days notice
- Continued use constitutes acceptance
- You should review Terms periodically
Changes to Services
- We may modify, suspend, or discontinue features
- No liability for changes to services
- Advance notice when feasible
Geographic Restrictions
Initial Launch
- Initially available in Nigeria
- May expand to other countries
- Local laws and regulations apply
Compliance
- Users must comply with local laws
- Certain services may be restricted by location
- Licensing requirements vary by jurisdiction
Taxes
User Responsibility
- Helpas responsible for income taxes on earnings
- Employers responsible for any applicable taxes
- Platform may report earnings to tax authorities
- Users should consult tax professionals
Tax Information
- We may provide tax documentation as required by Nigerian tax authorities (FIRS)
- Users must provide valid Tax Identification Number (TIN)
- Helpas should register with FIRS and maintain proper tax records
- Failure to provide tax info may result in account suspension
Insurance
Platform Insurance
- We maintain general liability insurance
- Payment protection for completed jobs
- Not a substitute for user insurance
User Insurance
- Helpas should maintain appropriate insurance
- Liability insurance recommended
- Workers compensation if employing others
- Professional liability for specialized services
Third-Party Services
Integrated Services
- Payment processors (Flutterwave)
- Identity verification (Veriff)
- Cloud services (AWS)
- Analytics (Firebase)
Third-Party Terms
- Subject to their own terms and policies
- We are not responsible for third-party services
- Service interruptions may occur
Governing Law
Jurisdiction
- Governed by the laws of the Federal Republic of Nigeria
- Subject to the Nigeria Data Protection Regulation (NDPR) 2019
- Disputes subject to the jurisdiction of Nigerian courts (Lagos judicial division)
- International users subject to local laws where applicable
Severability
- If any provision is invalid under Nigerian law, others remain in effect
- Invalid provisions modified to reflect intent while maintaining legal compliance
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and HandyHelpa.
Acknowledgment
BY USING HANDYHELPA, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
